We hereby regulate the conditions applied to purchases made by the User on the web platform owned by Etifor Srl, wownature.eu.

The User is invited to read carefully the following terms and conditions before making any purchase. The user who proceeds to purchase a service on this platform declares that he has read and fully accepts the following terms and conditions.
For the purposes of these terms and conditions the following definitions apply:

• Etifor or Seller: the company Etifor S.r.l. (hereinafter simply “Etifor”), VAT number 04570440281, with registered office in Padua (PD) Piazza Alcide De Gasperi 41, Telephone: 342 5050297, Mail: etifor@etifor.com, Pec: etifor@pec.etifor.it. Please note that Etifor is the owner of the WOWnature trademark.
• Website or site or portal: the web portal allocated on the domain wownature.eu (email info@wownature.eu )
• User: the person who accesses the Web Site, browses it and can make online purchases according to the provided procedure;
• Services: the services sold by Etifor through the Website
• Membership form: the form on the Website through which the User proceeds to register and create an account on the portal in order to view his/her orders and details concerning the project he/she has decided to support.
• Credentials: the USER ID and PASSWORD chosen by the User during registration, to be used for the purposes of the Site from time to time indicated;
• General Terms and Conditions: these General Terms and Conditions of Contract, through which the Seller intends to regulate the sales relationship with its customers;
• Order: the subscription to the Service offered by Etifor is made by the User through the procedures of the Site.

Registration coincides with the opening of an account and can be carried out at any time. The need to register in order to place Orders is indicated on the Site from time to time. To proceed with registration, the User must follow the specific procedure set out on the Site. The registration procedure allows the Seller to guarantee the personality of the account and to try to avoid abusive registrations.

During registration, the User expressly accepts the ‘Terms and Conditions’ visible at this link wownature.eu/en/terms-and-conditions.

The User guarantees in all cases the completeness, correctness and veracity of the data provided. In particular, the User guarantees that:

1. a) to be of legal age and capable (if a minor, registration, data entry and the purchase procedure must be carried out by a parent)
2. b) meet the requirements at the time of registration or order;
3. c) be the legitimate owner of the data entered, which shall be understood to be true, correct and up-to-date
4. d) comply with all legal and contractual provisions applicable to the relationship with The Seller;
5. e) undertake to comply with the provisions dictated by national regulations, with particular reference to rules of a mandatory nature, relating to public order and morality
6. f) not to transfer their Credentials to third parties.

The Seller reserves the right not to accept a request for registration or order, as well as to remove a User in all cases in which abuse, irregularities, impropriety and the like may be detected. The User is solely responsible for accessing the Site using his/her Credentials and is liable for all operations carried out on the Site using his/her Credentials.

Etifor si riserva la facoltà di variare i contenuti delle presenti Condizioni Generali e degli altri documenti sopra elencati, dandone evidenza all’interno del Sito. L’Utente è quindi invitato a consultare periodicamente il Sito per verificare la presenza di eventuali aggiornamenti o modifiche. Ogni modifica sarà efficace dopo la pubblicazione nel Sito.
Le Condizioni Generali applicabili a un acquisto saranno sempre quelle vigenti al momento in cui viene effettuato il relativo ordine.

3.1 Features

The user of the wownature.eu platform (be it an individual, a company, an institution etc.), can request the following services:
“Grow a tree”, consists in co-financing the planting of one or more trees within the environmental projects promoted by Etifor. During the finalisation phase of this service the user can decide to give this service to others.
“Protect a forest”, allows you to co-finance the forest management of projects promoted by Etifor.
All projects published within the wownature.eu platform have been approved by Etifor. Etifor carries out planting and interventions on its own behalf or on behalf of third parties.

a. “Grow a tree” project
The Vendor makes available the possibility of joining a project for the growth and development of trees or plants in a specific area, according to the terms indicated from time to time on the Site in the information sheet dedicated to the project.
By way of example, within the scope of this service the Vendor performs the following activities
– identification of the owner or manager of the green area
– management of the relationship with the supplier of the products (mostly trees and/or plants) that are the subject of the projects
– management of the relationship with the party in charge of the stages of growing the trees from seed to tree/plant, up to the time when they are to be planted
– possible coordination of the tree/plant planting.

Since the object of the transaction is a service, the user receives – as proof of his contribution – a digital certificate visible within his user area of the portal.
The user is therefore not physically handed over any tree elements; the trees are in fact exclusively planted within the land covered by the projects visible on the platform, and not in any land the user may own. It follows that the user cannot claim or assert any property rights to the co-financed trees or any fruits/products thereof.

With regard to the sub-service “give a tree”, which is only possible within the “grow a tree” service, if the recipient is a user who has not yet registered with the community, the tree will only be registered in the name of this recipient at the time when he/she registers with the portal. Therefore, if the user never registers – i.e. in the period of time prior to the user’s registration – the holder of the tree will remain the user who paid for it.

b. “Protect a forest”
The Seller makes available the possibility of joining an environmental project in a specific territory, according to the methods indicated from time to time on the Site in the information sheet dedicated to the project.
By way of example, within the scope of this service the Seller performs the following activities
– identification of the owner or manager of the green area
– definition of the interventions to be carried out in the area by the area manager
– possible coordination with the area coordinator and co-financing of the agreed activities.

Since the object of the transaction is a service, the user receives – as proof of his contribution – a digital certificate visible within his user area of the portal.

3.2. Fees

Within each project description sheet, the minimum amount that the user can pay in order to join and support that particular project is indicated.

For the “Grow a tree” service, the fee to be paid to co-finance the planting and growth of each individual tree is expressed on the platform in euros. The price is determined according to the characteristics of the individual project. Therefore, the price of each tree element may vary from species to species and the same species may have different prices in different areas. This sum is deemed to include the following activities on the part of the Seller:
– Purchase of the seed of the tree or plant indicated in the project from a professional partner of the Vendor (nurseryman or similar) in order to carry out the procedure of cultivation of the seed and birth of the tree or plant up to the period suitable for their installation in the area identified in the project;
– Coordination with the competent professional for the purpose of setting up the plant or tree.
For the “Protect a forest” service, the fee to be paid to co-finance the green area management activities is expressed on the platform in euro. The price is determined according to the characteristics of the individual project and may therefore vary from project to project.

3.3 Payment Methods

The Seller reserves the right to provide for additional payment methods in the future.
Payment for orders may be made:
(i) by credit card. To ensure the security of the transition, the technology created by the international company Stripe has been chosen. For information https://stripe.com/it
(ii) through the PayPal platform, selecting it during the purchase process, you will be redirected to PayPal secure servers where by logging in with your credentials you will be able to complete the payment by charging your credit card, bank account or electronic purse.

In the case of payment by credit card, your financial information (e.g., your credit/debit card number or the date of its expiration) will be forwarded, via encrypted protocol, to the banks that provide the relevant remote electronic payment services, without third parties being able, in any way, to access it. This information, moreover, will never be used by Etifor except to complete the procedures relating to the purchase and to issue the relevant refunds in the event of any returns of products, following the exercise of the right of withdrawal, or if it is necessary to prevent or report to the police the commission of fraud through the Site.

The price for the purchase of products and any shipping costs will be charged when Etifor sends confirmation of receipt of the order.
In the case of payment by PayPal, the actual charge will occur when Etifor sends the order confirmation e-mail.
3.4. Method of performance of the Service
Etifor (as owner of the WOWnature brand) proceeds to carry out the above two steps no later than 36 months from the time of purchase of the service by the User.
These timelines may vary depending on the conditions and seasonal cycles of the areas where the planting projects are carried out.
Variation in these timelines will be communicated to the User.

At the time of purchase, if the User has selected the “Grow a Tree” service, he/she must indicate the amount of trees he/she wishes to have planted, choosing from the species available within the individual reforestation projects.

3.5. Procedure for joining the Service.

The User can join all the projects present within the Site at the time of joining and illustrated and described in the respective information sheets.
All steps of the procedure of joining and payment of the relevant fee are clearly described by means of the pages of the Site and the relevant text and graphics. In particular, to complete the membership, the User must complete the Membership Form in electronic format and transmit it to the Seller electronically, following the relevant instructions.
The Accession Form contains a reference to these General Terms and Conditions containing also the Information on the right of withdrawal, as well as a summary of the information on the essential characteristics of each project joined and the relevant fee (including all applicable taxes and fees), the means of payment, the manner of execution and the timing of related services.
The Joining Order is considered placed at the moment of the “click” of validation by the User, subject to the right to cancel the Order in advance, where possible, and subject in any case to the right of withdrawal, where applicable.
By placing the Order, the User expressly accepts these General Conditions.
Acceptance of the Order by the Seller is made by sending a confirmation e-mail to the e-mail address provided by the User. This e-mail contains the constituent elements of the Order (order number, prices, mode of performance of the chosen services).

The User has the burden of verifying the correctness of the data in such order confirmation e-mail and to promptly report to the Seller any errors or omissions by writing to the e-mail address: info@wownature.eu.

3.6. Force Majeure

Etifor cannot be held liable for the total or partial non-performance of any obligation stated in these general terms and conditions, if such non-performance is caused by unforeseeable events and/or natural events beyond its control and responsibility, including but not limited to, natural events (disasters), acts of terrorism, wars, popular uprisings.
It should also be noted that, due to force majeure, the species(s) selected by the user with the order may not be available at the time when transplantation should take place. Similarly, it may not be possible to proceed with transplantation in the country indicated on the platform at the time the user placed the order.

This may occur in the case of:
1. supervening inability to operate in the country indicated on the platform at the time of the order due to climatic, ecological, political, social adversity, or operational difficulties of proper management and maintenance of the project;
2. supervening impossibility of safe operation in the countries where it is possible to plant the requested species;
3. failure of the species to take root in the nursery or high probability that the species, once transplanted, will not take root;
4. possible inability to plant the species chosen by the user due to events that cannot be predicted and are not attributable to Etifor’s actions, such as – but not limited to – the sudden difficulty in obtaining agricultural raw materials or the unexpected and unforeseeable increase in the cost of planting and management of the species itself, determined by events unrelated to the relationship between WOWnature, Etifor and the user (by way of example and not exhaustive, pharmaceutical discoveries) that do not allow to implement, under the agreed conditions, the agreement between the parties.

In case of force majeure, the execution of the Order may be modified, suspended and/or cancelled following the appropriate communication to the User. Through acceptance of the General Terms and Conditions, the User implicitly consents to such changes (e.g., change in the species chosen), it being understood that no less quantity of trees will be planted than originally requested during the order.

3.7 Withdrawal

Users are reminded that through the Site, services made available by Etifor are purchased and under no circumstances may tangible movable property be purchased. Withdrawal is excluded, pursuant to Article 59, paragraph 1, of the Italian Consumer Code for contracts for the purchase of services after the full performance of the service by Etifor if the execution of the contract has begun with the express agreement of the Consumer and the acceptance of the loss of the right of withdrawal following the full performance of the contract by Etifor.

Etifor, however, with a view to maximum availability to its Users, reserves the right to verify on a case-by-case basis any requests for withdrawal that may be received from Users and to assess for each one what to do in private with the User.

Etifor is not liable:

• for any prejudice resulting from the User’s use of the Site and Services in a manner contrary to the provisions of these Terms and Conditions;
• for any prejudice resulting from the User’s use of Services not provided directly by Etifor;
• for cases of force majeure such as, by way of example, computer or electronic failures, technical failures of the Site, blockage of telecommunications including networks and in particular the Internet.
• for any prejudice that may be caused to Users as a result of the suspension of the Site and Services in cases of force majeure;
• for information, data and content entered, transmitted by the User through the Site and Services including services not provided directly by Etifor;
• for any prejudice resulting to the registered User from the loss/loss/ illicit or abusive use of the Credentials.

The Site, the trademarks “Etifor” and “WOWnature”, the domain name wownature.eu and any object of intellectual and industrial property pertaining to the same are the exclusive property of the Seller, who is also the owner of the intellectual property rights of the Site and its contents, including but not limited to the texts, documents, images, logos, photographs, page layout, design and know-how.

Partial or total reproduction, on any type of medium, use of the elements that make up the Site, their use as well as their transfer to third parties are formally prohibited.

It is therefore prohibited to copy, disclose and modify content protected by copyright, trademarks or other intellectual and industrial property rights.

The trademarks and logos of platforms granting payment instruments, social networks, couriers and the like and any other logos not directly or indirectly attributable to the Seller are the property of their respective owners and are indicated on this Site for information purposes only to enable the performance of the relevant Services.

The General Conditions and the Services described therein are governed exclusively by Italian law.

All Services and information contained in the Site will be rendered in the Italian language.

For anything not expressly provided for herein, please refer to the provisions of the Italian Civil Code and the Consumer Code, where applicable.

In any case, for the resolution of disputes arising from the ‘application of the contract you can resort to the out-of-court dispute resolution procedures, referred to in Part V, Title II-bis, of the Consumer Code, before the mediation bodies in the field of consumption pursuant to Legislative Decree February 4, 2010 n. 28 and other ADR bodies (i.e. Alternative Dispute Resolution, then alternative to judicial or litigation) indicated therein.

Without prejudice to the foregoing, for any dispute concerning the interpretation, execution and termination of these General Conditions and the resulting sales relationship, if the User is a Consumer he/she may choose alternatively to turn to the Judicial Authority of his/her domicile (if different from Italy) or to the Italian Judicial Authority, in case of application of the 1968 Brussels Convention or EU Regulation 1215/2012.

In the case of Italian jurisdiction, if the User is a Consumer the mandatory territorial jurisdiction is of the judge of the place of his residence or domicile, pursuant to art. 66-bis Legislative Decree 206/2005.

If the User is a Professional within the meaning of the applicable legislation, on the other hand, the Italian Judicial Authority has exclusive jurisdiction and the Court of Padua is exclusively competent, without prejudice to the mandatory and exclusive jurisdiction of the Court of Venice, Specialized Section on Business, for the cases expressly provided for by the applicable legislation.

This is without prejudice to any exclusive and mandatory jurisdiction and competence provided for by the sector regulations.

Any communication between the Parties shall be considered valid and effective if made to the addresses indicated in these General Conditions in the “Customer Service” clause or to those subsequently changed and communicated to the other party at the last known and valid address.
